1. Acceptance of Terms

By accessing or using QuantFlow ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Platform. Your continued use of the Platform constitutes acceptance of any updates or modifications to these terms.

2. No Investment Advice

Nothing on the Platform constitutes financial advice, investment advice, trading advice, or any other form of advice. The Platform provides algorithmic trading tools, market data visualization, and analytical features for informational and educational purposes only. Any trading signals, indicators, scores, or recommendations generated by the Platform are not personalized investment advice and should not be relied upon as such.

You acknowledge that you are making your own independent decisions regarding any trades or investments and that you are not relying on QuantFlow or its operators for any investment decisions.

3. Limitation of Liability

To the fullest extent permitted by applicable law:

• QuantFlow, its operators, developers, affiliates, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• The operators of QuantFlow are not liable for any trading losses, financial losses, or damages of any kind that result from your use of the Platform, its tools, algorithms, signals, or any information provided.
• QuantFlow is not liable for any losses arising from technical failures, system downtime, data inaccuracies, delayed market data, API errors, or connectivity issues with third-party brokerage services.
• In no event shall the total liability of QuantFlow exceed the amount you have paid (if any) for access to the Platform in the twelve (12) months preceding the claim.

4. Indemnification

You agree to indemnify, defend, and hold harmless QuantFlow, its operators, developers, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Platform and any trading activities conducted through or in connection with the Platform.
• Your violation of these Terms of Service.
• Your violation of any applicable laws, rules, or regulations.
• Any losses or damages suffered by you or any third party as a result of your trading activities.

5. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials, API keys, and passwords.
• All activities that occur under your account.
• Ensuring that your brokerage API configurations are correct and secure.
• Complying with the terms of service of any third-party brokerage or exchange you connect through the Platform.
• Understanding the risks associated with algorithmic and automated trading.

6. Third-Party Services

The Platform integrates with third-party brokerage and exchange services (such as Alpaca, Coinbase, Webull, and others). QuantFlow is not affiliated with, endorsed by, or responsible for these third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies. QuantFlow is not responsible for any actions taken by, or any data shared with, these third-party services.

7. Intellectual Property

All content, features, functionality, algorithms, and code on the Platform are owned by QuantFlow and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Platform without express written permission.

8. Modification of Terms

QuantFlow reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes acceptance of the modified terms. It is your responsibility to review these terms periodically.

9. Termination

QuantFlow may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all provisions of these terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. QuantFlow does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator resides, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the competent courts of that jurisdiction.
